SEC Filings: Essential Guide to 10-K, 10-Q and 8-K Reports

Read SEC filings with a clear checklist: annual 10-Ks, quarterly 10-Qs, current 8-Ks, earnings releases, GAAP versus adjusted figures and document dates.

SEC filings provide public-company information with different purposes and reporting periods. A Form 10-K is an annual report, a 10-Q is a quarterly report and an 8-K reports specified current events. An earnings release can summarize results, but it should be read alongside the relevant filing and its notes. Start by checking the company, form, period and filing date before interpreting a number.

SEC filings — USRPTV explainer

How the main SEC filings differ

Investor.gov explains that Forms 10-K and 10-Q describe a company’s business, risks and financial results for the relevant annual or quarterly period. The annual 10-K includes audited financial statements. A current report on Form 8-K serves another purpose: reporting specified material events.

A company may issue an earnings release near the time of a filing, but a short release is not the same document as the complete periodic report. The SEC’s 8-K bulletin explains that earnings-related disclosures can summarize statements that appear later in a 10-Q or 10-K.

The practical question is which document answers your question. A recent executive change, a full year’s business risks and a quarterly revenue comparison may lead you to different parts of the filing record.

SEC filings: check identity, dates and units first

Confirm the issuer and the filing’s period before reading a headline figure. A filing date describes when the document was submitted; the financial period may end earlier. A company’s fiscal year also does not necessarily match the calendar year.

Check whether a table presents amounts in dollars, thousands or millions, and whether a per-share measure uses a separate unit. A number copied without its heading can be off by a large factor while still looking precise.

For an invented example, a table labeled in millions shows revenue of 250. That means $250 million in the table’s currency context, not $250. If another table uses thousands, the same printed number has a different scale. Keep the heading attached to the calculation.

Read the business discussion and the notes

A revenue or earnings table is easier to interpret after understanding what the company does and what changed. Investor.gov identifies management’s discussion and analysis and the risk discussion as important parts of the information available in periodic reports.

Look at the notes connected to a figure rather than assuming it has the same meaning in every company’s report. An acquisition, a change in reporting segments or another disclosed event can affect how a comparison should be read.

Use a small research note with the document, page or section, period and definition of the number. That makes a later comparison easier to audit and reduces the temptation to rely on a chart stripped of its original labels.

Separate GAAP and adjusted measures

Some releases present non-GAAP or adjusted measures alongside figures prepared under the applicable accounting framework. SEC staff guidance addresses how such measures can be presented and warns that some adjustments can be misleading. The label adjusted does not automatically make a measure more informative.

Find the definition and reconciliation associated with the measure. Ask what was added back or excluded and whether the company uses the same method across periods. Do not compare one company’s adjusted number with another company’s differently defined measure as though the labels guarantee equivalence.

A hypothetical business might report a GAAP loss and an adjusted profit after excluding selected items. Those statements can coexist because they use different definitions. The useful task is to read the bridge between them, not to pick the more attractive number and discard the rest.

Keep cash, profit and company value separate

A balance-sheet cash figure, income for a period and a stock-market valuation describe different concepts. A filing can provide evidence for some of them, but one number should not silently stand in for another.

For example, a business can report accounting income while cash movements differ because of the timing and nature of transactions. To understand the difference, examine the relevant statements and notes rather than assuming income equals money immediately available to distribute.

Company value and an executive’s personal wealth are also separate. A person’s ownership share, other assets and liabilities would matter to a wealth estimate. The company’s total revenue cannot be assigned to its founder as personal income.

Use SEC filings as evidence, with appropriate limits

An official filing is a primary document, but finding a number there does not settle every interpretation. Read amendments, explanations and later disclosures where relevant. A table can be accurately copied and still be used to support a claim it does not establish.

If an article says results improved, ask which measure, which period and which comparison support the statement. If it says a deal was completed, distinguish a signed agreement, a proposed transaction and a reported closing.

This guide is general financial literacy, not a recommendation to buy or sell a security. It does not assess the suitability of a company for any reader. Individual decisions require more than a filing-type checklist.

For 2027 reporting, repeat the same evidence discipline: company, form, period, unit, definition and context. Those labels make financial coverage more useful even as the underlying results and businesses change.

Frequently asked questions

What is the difference between a 10-K and a 10-Q?

A 10-K is an annual report and a 10-Q is a quarterly report. Read the period and the complete document rather than assuming they contain identical information.

What is Form 8-K used for?

The SEC describes it as a current report for specified material corporate events. It is different from the periodic annual and quarterly reports.

Is an earnings release the complete financial report?

Not necessarily. It may summarize results. Read the relevant filing, statements, notes and any related exhibits.

Are adjusted earnings automatically better than GAAP earnings?

No. Check the definition, exclusions and reconciliation. Different measures answer different questions and may not be directly comparable.

Can company revenue establish a founder’s net worth?

No. Revenue belongs to the company’s activity for a period. Personal net worth concerns the person’s assets and liabilities.
